Terms and Conditions of Business
Rockfield Partners Ltd
1. Definitions
“Client”: The company or organisation engaging Rockfield Partners Ltd to recruit staff.
“Candidate”: A person introduced by Rockfield Partners Ltd to the Client for an Engagement.
“Engagement”: Employment or use of the Candidate by the Client or any third party following an introduction by Rockfield Partners Ltd.
“Introduction”: Any CV, interview arrangement, or communication about a Candidate provided to the Client by Rockfield Partners Ltd.
“Fee”: The sum payable to Rockfield Partners Ltd upon a successful Engagement.
2. Agreement to Terms
By engaging our services, the Client agrees to be bound by these Terms and Conditions. These terms supersede any other terms proposed by the Client.
3. Candidate Introductions
Introductions are confidential. Sharing candidate details with third parties may result in full fee liability if that third party engages the candidate.
An Introduction is valid for 12 months from the date of referral.
4. Fees and Payment
The standard fee for permanent placements is 15% of the candidate’s first-year gross annual salary, including any guaranteed bonuses or allowances.
All fees are subject to VAT at the prevailing rate.
Invoices are issued upon a candidate’s acceptance of an offer.
Payment terms: 14 days from the date of the invoice. Late payments will incur interest at 8% per annum above the Bank of England base rate.
The Client agrees to inform Rockfield Partners Ltd in writing of the agreed gross annual salary for any candidate hired through our services, including any changes prior to the candidate’s start date. This is to ensure accurate invoice calculation at the agreed 15% rate.
5. Candidate Replacement Guarantee
If a candidate leaves within 8 weeks of their start date, we will provide one free replacement (one-time only), provided:
The Client has paid the fee on time.
The departure is not due to redundancy, restructuring, or breach of employment terms by the Client.
The Client provides full cooperation and response during the replacement process.
6. Client Responsibilities
The Client is responsible for verifying a Candidate’s qualifications, experience, and right to work in the UK.
Rockfield Partners Ltd shall not be liable for any loss, damage, or expense suffered by the Client arising from an Engagement.
7. Liability
Rockfield Partners Ltd accepts no liability for any loss, injury, or damage suffered by the Client or any third party arising from the Engagement of a Candidate.
We do not guarantee the suitability or performance of any Candidate.
8. Data Protection
We comply with all relevant UK GDPR and Data Protection legislation. Please refer to our Privacy Policy for more details.
9. Termination
Either party may terminate engagement of services in writing. Fees remain payable for Candidates introduced prior to termination, if subsequently engaged within 12 months.
10. Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
