1. Definitions

1.1 "Candidate" refers to any individual introduced by The Agency to The Client. 1.2 "Introduction" means the passing of a Candidate's curriculum vitae (CV) or any other identifying information to The Client. 1.3 "Engagement" means the employment of a Candidate by The Client. 1.4 "Annual Remuneration" includes the Candidate's gross basic salary for the first year of employment.

2. Fees

2.1 The Agency operates on a contingency basis. No fee is payable unless The Client engages a Candidate introduced by The Agency. 2.2 The introduction fee payable upon the Engagement of any Candidate is 10% of the Candidate's guaranteed first-year Annual Remuneration. 2.3 Value Added Tax (VAT) will be charged on the fee, if applicable.

3. Payment Terms

3.1 The Agency will issue an invoice to The Client on the Candidate's first day of Engagement. 3.2 The full fee is payable by The Client within 15 days of the date of the invoice. 3.3 The Agency reserves the right to charge interest on any overdue invoices at a rate of 8% above the Bank of England base rate.

4. Introduction Period

4.1 An Introduction is deemed to be the cause of an Engagement if the Candidate is engaged by The Client within 12 months of the initial Introduction. 4.2 If The Client, or any associate of The Client, passes on an Introduction to a third party who then engages the Candidate within 12 months, The Client shall be liable for the full introduction fee as outlined in Clause 2.2.

5. Rebate Policy

5.1 If a Candidate who has been engaged by The Client leaves their employment, The Agency will provide a partial refund of the introduction fee, provided that the fee was paid in full within the 15-day term specified in Clause 3.2. 5.2 The rebate will be calculated as follows: * Employee terminates between weeks 1-2: 100% refund * Employee terminates between weeks 2-6: 50% refund * Employee terminates between weeks 6-9: 25% refund 5.3 No rebate is due if the Candidate's employment is terminated due to redundancy, a significant change in job duties, or unlawful action by The Client.

6. Confidentiality

6.1 All information shared regarding Candidates is confidential and is provided solely for the purpose of assessing their suitability for engagement. The Client agrees not to share any Candidate information with third parties without the prior written consent of The Agency.

7. Liability

7.1 The Agency shall endeavour to ensure the suitability of any Candidate introduced. However, The Client is responsible for taking up any references, checking qualifications, and ensuring the Candidate is medically fit for the role. The Agency shall not be liable for any loss or damage arising from the actions or omissions of a Candidate.

By proceeding with the introduction of a candidate, The Client is deemed to have accepted these Terms of Business.
